Termination of Program/Contract Disclaimer Statement

By applying to the program, all applicants will be required to agree to the following statement:

It is hereby agreed and understood that this program may be discontinued by the Commonwealth of Virginia at any time without notice without incurring any obligation upon the Metropolitan Washington Council of Governments, RideFinders, the Transportation District Commission of Hampton Roads (TDCHR), the Commonwealth of Virginia, the Department of Rail and Public Transportation, or any other agency or instrumentality of the Commonwealth. The recipient of any assistance under the Telework!VA Program agrees to keep, preserve, and maintain for a period of not less than three years, and to open to representatives of the Metropolitan Washington Council of Governments, Ridefinders, TDCHR, the Commonwealth of Virginia, or any of its agencies or instrumentalities, during normal business hours, for inspection, any books, records, documents, or other materials relating to the expenditure of funds received from the Telework!VA Program.

It is also agreed and understood that any assistance granted under the Telework!VA Program may be terminated immediately at any time it is determined that the applicant is not complying with the terms and conditions of the program, with notification to be made to the recipient by written notice mailed by first class United States mail.

It is also agreed and understood that the recipient of any assistance under the Telework!VA Program shall at all times observe and comply with all Federal, state, and local laws, ordinances, regulations, orders, and decrees applicable to the work being performed, including any requirements under the Occupational Safety and Health Act (OSHA) and the Equal Employment Opportunities Act (EEO), and shall indemnify, defend, and hold harmless the Metropolitan Washington Council of Governments, RideFinders, TDCHR, the Commonwealth of Virginia, and the Department of Rail and Public Transportation, and their officers, agents, and employees against any and all claims of liability arising from or based upon the violation of any law, ordinance, regulation, order, or decree by the recipient or any officer, agent, or employee of the recipient or any independent contractor hired by the recipient in connection with any work performed or any facilities or equipment used by or provided to any employee by the recipient in connection with the Telework!VA Program.

It is also agreed and understood that the recipient of any assistance under the Telework!VA Program shall be responsible for any damage to person or property due to any intentional wrongful actions or negligent acts or omissions by it and those of its officers, agents, and employees or any independent contractors hired by the recipient in connection with the Telework!VA Program, and the recipient shall indemnify, defend, and hold harmless the Metropolitan Washington Council of Governments, RideFinders, TDCHR, the Commonwealth of Virginia, and the Department of Rail and Public Transportation, and their officers, agents, and employees against all damages, claims, suits, actions, judgments, expenses, and costs so arising there from.
